Do you know every date you have to hit?
An AGM is run backwards. Fix the meeting date, and everything before it has its own deadline: notice preparation, the annual report, board approvals, ASX lodgements, the logistics. Each one depends on the last.
AGM Planning
Lock the date early. Everything downstream is measured back from it.
Notice Drafting and Distribution
The critical path. Reviews by the registry, ASX and ASIC all sit inside this window.
Preparing for the Meeting Day
Runs in parallel with distribution. This is where the meeting itself gets built.
On the Meeting Day
The day it all comes together. Keep the meeting on track and the results moving.
After the AGM
The meeting is over, but the lodgements are not. What you file depends on what passed.
- Five phases across the full AGM cycle, from first planning to post-meeting lodgement.
- Every deadline in one place. What, when, and why it matters.
- Written by practitioners who work across legal, governance and company secretarial.
How much support do you need?
Every business sits somewhere different: newly listed or twenty years in, one entity or a group of them, a full company secretariat or no one formally in the seat. The offer flexes to match.
Option 1
Review your notice
You draft the notice of meeting; we check it before it goes out. Every resolution and disclosure clearly set out, every requirement met. Built for teams with an in-house company secretary who want certainty.
Option 2
Draft your notice
We prepare the notice of meeting from your resolutions, ready for board approval. Correctly structured, properly disclosed, and on time.
Option 3
Run the whole meeting
End-to-end project management against the timetable: resolutions, approvals, the notice, lodgements, distribution, proxies and the day itself. You make the decisions; we carry the process.
Where AGMs come unstuck
An AGM looks routine and is anything but: a long sequence of steps with real consequences for getting one wrong. In many businesses it lands on someone doing it once a year without the training or the time: a CFO, a legal counsel, an executive assistant.
- Deadlines nobody owned
- A notice that does not hold up
- Missed ASX lodgement dates
- The wrong people in the room
The consequences are not administrative
Insufficient notice can see the AGM deemed invalid if the regulator or shareholders challenge it, along with the resolutions it carried.
Reputational damage
A mishandled AGM undermines confidence in your board and frustrates the shareholders and investors it exists to answer to.
ASX and ASIC attention
Governance failures that reach the regulators can trigger an investigation, a process that consumes the board long after the meeting.
Delayed transactions
Any deal waiting on shareholder approval at the meeting waits again, and counterparties notice why.
Frequently asked questions
Can you act as our named company secretary?
Yes. Source can take the statutory appointment as your named company secretary, or sit behind the person who already holds it and carry the workload. Which arrangement fits depends on your structure, it is one of the first things we would talk through.
Can you manage our ASX lodgements?
Yes. We manage ASX lodgements as part of running an AGM, and outside AGM season as ongoing company secretarial support. Lodgement dates are one of the most commonly missed steps in the AGM timetable, so they are built into the plan from day one rather than handled as an afterthought.
Can you run our AGM end to end?
Yes. We project manage the whole meeting against the timetable: resolutions and board approvals, drafting the notice of meeting, lodgements, distribution, proxies and meeting logistics, through to the day itself. You stay across the decisions; we carry the process.
Can you check the notice of meeting we have already drafted?
Yes. If you have an in-house company secretary or have prepared the notice yourself, we review it before it goes out, checking that every resolution and disclosure is clearly and correctly set out, and that the notice meets the requirements that apply to your company.
When should we start planning?
Now. For most businesses, resolutions need to be agreed by the end of August, roughly eight weeks before the notice of meeting has to be distributed, which for most is the end of October at the latest. If you are already past that point, talk to us straight away rather than compressing every later step.
We have multiple entities, can you check everything has been done?
Yes. Groups with several entities are exactly where things slip, because each entity carries its own requirements and dates. We run a health check across the group and confirm every meeting, resolution and lodgement has been completed correctly, or flag what has not, while there is still time to fix it.
